Terms & Conditions

By accessing and using SMS ERP ("the Service", "the Platform", "we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our Service.

These terms apply to all visitors, users, business owners, employees, and others who access or use the Service on behalf of a registered business or organization.

To use the Service, you must register for an account by providing accurate and complete information. You agree to:

• Provide true, accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and account credentials.
• Immediately notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We offer a 7-day free trial for new users to evaluate the Service. During the trial period:

• Full access to all features is provided.
• No payment information is required to start the trial.
• You may cancel at any time without charge.
• Trial period cannot be renewed or extended on the same account.

After the trial expires, your account will be deactivated unless you subscribe to a paid plan. Your data will be retained for a limited period (see Section 10) and may be permanently deleted thereafter.

After the free trial, continued use of the Service requires a paid subscription. The following plans are available:

All fees are payable in advance. Subscriptions automatically renew unless cancelled before the renewal date. To avoid being charged for the next billing cycle, you must cancel at least 24 hours before the renewal date.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable local, national, or international law or regulation.
• Infringe on the intellectual property rights of others.
• Transmit any harmful code, viruses, or malware.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use the Service to send spam or unsolicited communications.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without written permission.
• Use the Service to store or process illegal content.

You retain full ownership of all data you upload, enter, or store through the Service, including but not limited to:

• Student, staff, and customer records
• Financial data and transactions
• Documents, images, and files
• Business configuration and settings

We claim no ownership over your data. However, by using the Service, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service to you.

The Service, including its original content, features, functionality, source code, design, logos, and trademarks, is owned by SMSERP and is protected by international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute any part of the Service.
• Use our trademarks, logos, or branding without prior written consent.
• Create derivative works based on the Service.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during the term of your subscription.

We strive to maintain the Service with a target uptime of 99.9%. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance (announced in advance)
• Emergency security patches or updates
• Third-party service failures (hosting, payment gateways, etc.)
• Force majeure events (natural disasters, cyber attacks, etc.)

We are not liable for any losses resulting from Service interruptions, though we will make reasonable efforts to minimize downtime. Downtime does not entitle you to any refund or compensation.

To the maximum extent permitted by applicable law, in no event shall SMSERP, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, or business opportunities
• Business interruption or downtime
• Reputational harm
• Any other intangible losses

By You: You may terminate your account at any time by contacting support or using the account deletion feature. Termination does not entitle you to a refund for any unused portion of your subscription.

By Us: We may suspend or terminate your account immediately, without prior notice or liability, for any reason including but not limited to:

• Violation of these Terms & Conditions
• Non-payment of subscription fees
• Fraudulent, abusive, or illegal activity
• Requests by law enforcement or government agencies

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify you via email and/or in-app notification.
• Provide at least 30 days' notice for material changes.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service and may cancel your subscription. Cancellation does not entitle you to a refund of any amount previously paid.

These Terms shall be governed and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in Lahore, Punjab, Pakistan. You agree to submit to the personal jurisdiction of such courts.
